Summary for Humans
We provide the infrastructure (Flow and Vantage) to help you run payroll and manage your team. You agree to give us accurate data so we can pay people correctly and on time.
1. Service Provision
1.1 Mellent Ltd ("Mellent") provides the Flow (Payroll) and Vantage (Workforce Intelligence) platforms to registered corporate clients ("Employers").
1.2 Flow enables the automated calculation and disbursement of multi-currency payroll, including statutory filings to regional tax bodies (e.g., HMRC in the UK, PenCom in Nigeria).
1.3 Vantage provides predictive workforce signals based on the data orchestrated within the Mellent ecosystem.
Summary for Humans
You are responsible for making sure the payroll numbers are right. We facilitate the payments, but the legal duty to pay the right amount of tax stays with you.
2. Disbursement & Liability
2.1 Mellent acts as a technical facilitator for payments to employees and statutory bodies. Final liability for the accuracy of tax declarations and statutory compliance remains with the Employer.
2.2 Employers must ensure that all payroll inputs are verified and approved within the platform's specified "Cut-off Nodes" to ensure timely disbursement.
2.3 Mellent shall not be held liable for delays or errors resulting from inaccurate banking data or late approval of disbursement cycles by the Employer.
Summary for Humans
We charge you per employee, per month. Bills are generated based on the number of people active in your ledger during each cycle.
3. Payment & Billing
3.1 Service fees are calculated on a "Per Active Node" (Per Employee) basis per month, unless otherwise specified in an Executive Service Level Agreement (SLA).
3.2 Platform fees and statutory filing charges are billed in the Employer's primary functional currency (e.g., GBP, NGN, or USD).
3.3 Failure to settle platform fees may result in the suspension of the automated statutory filing nodes.
